Profile
Peter J. Brown is a partner at Edwards, Kenny & Bray LLP.Mr. Brown is a regulatory and business law solicitor. He provides advice on a wide range of transactional and day-to-day business activities for a broad range of commercial clients. In particular, he has extensive experience in servicing credit unions, including providing advice on mergers, banking systems, credit card suppliers, securitizations, financings, employment, privacy compliance, corporate governance, mortgage broker regulations, purchase and sale of insurance and financial planning agencies, and general regulatory compliance.
Representative Experience
- Has acted for over half of the credit unions in the B.C. credit union system.
- General Corporate Counsel for a number of credit unions, including Stabilization Central Credit Union of British Columbia.
- Developed and implemented the model and structure for SCCU Solutions Centre, a credit union services organization with over 30 credit union participants.
- Lead counsel on numerous credit union mergers.
- Borrower’s counsel on the negotiation and completion of a US$100 million foreign bank deposit transaction for a credit union.
- Assisted with the negotiation of multiple banking system contracts with Canadian and U.S. banking system suppliers.
- Assisted several credit unions to implement and develop securitization programs, including SMART Trust, SOUND Trust and, more recently, the Canada Mortgage Bond Program.
- Advised on leasing and employment issues for a multi-branch financial institution.
- Worked with a Board of Directors of a credit union to draft a modernized and progressive set of Rules.
- Drafted template purchasing contracts for a financial institution in coordination with a formalized purchasing program.
Professional & Community Activities
Mr. Brown is a contributing author of Buying and Selling a Business – Annotated Precedents and several other papers on business law published by the Continuing Legal Education Society of British Columbia. He has also acted as a guest lecturer for the Professional Legal Training Course, the bar admission course of the Law Society of British Columbia.Mr. Brown is a member of the Banking, Business, Employment and Freedom of Information and Privacy Law sub-sections of the Canadian Bar Association.
