Profile

John D. McInnis is a senior partner at Edwards, Kenny & Bray LLP, and previously served as the Managing Partner of the firm.

Listed in the International Who’s Who of Business Lawyers in the area of mining law, Mr. McInnis regularly advises mining and mineral exploration companies on a range of mining, corporate, commercial and securities matters. He assists on acquisitions and dispositions of mineral resource properties both in Canada and offshore, and on the formation and administration of exploration and mining joint venture agreements.

Mr. McInnis’ expertise includes advising public and private companies in the mining and other sectors on amalgamations, arrangements and other corporate restructurings, and on asset and share transfers. He counsels mining companies on technology, financing, supply, royalty, environmental remediation and other commercial transactions. In addition, Mr. McInnis advises public companies on prospectus offerings, private placements, takeover bids, proxy contests and securities compliance matters.

  • Structuring and negotiation of remediation agreements related to tailings spill in Asia
  • Negotiation of exploration joint venture agreements for mineral resource properties in the Northwest Territories, Mauritania, Guinea, Mexico and other jurisdictions
  • Counsel for the corporate restructurings of Canadian and offshore subsidiaries of a multi-national mining company
  • Vendor counsel on the sale of the Endako Mine, a producing molybdenum mine in British Columbia
  • Counsel on the privatization of Equity Silver Mines, a former silver producer in British Columbia
  • Counsel on long-term group purchase contracts for the supply of cyanide, explosives, tires and fuel requirements for mines in Canada, the United States, Australia and Chile
  • Counsel on technology development and licensing agreements for a multi-national mining company
  • Counsel on cross-border prospectus offerings for a multi-national mining company and domestic prospectus offerings for Equity Silver Mines and Gibraltar Mines
  • Counsel on takeover bids for advanced exploration projects in British Columbia and Argentina
  • Counsel on shareholder meetings, annual information forms and securities compliance filings for TSE and TSX-V listed mining and mineral exploration companies
  • Counsel for the refinancing of bank debt and restructuring of a joint venture party's ownership interest in the Ekati Mine, a producing diamond mine in the Northwest Territories

Professional & Community Activities

Mr. McInnis is the author of “Taking in Kind”, presented at the Continuing Legal Education Society of British Columbia’s ("CLE") course, Mining: Drafting Joint Venture Agreements (1999). He is also the author of "Short Form Option - Joint Venture Agreements", presented at the CLE course, Mining Law - 2009.  Mr. McInnis is also the coordinator of the Globalaw Mining Initiative, a group of Globalaw member firms representing mining and exploration companies in North and South America and South East Asia.
